Tego Systems Corp. is committed to maintain our dealer’s, distributor’s and reseller’s service levels for quality, product support, warranty service and Tego System’s brands reputation, which is also governed by MINIMUM ADVERTISED PRICE POLICY (“MAP Policy”).

Although each reseller remains free to establish its own advertising policy, Tego Systems Corp. requires that any advertising of its products or use of our trademarks meet certain minimum criteria. In the event that a reseller (any party which “resells”), advertises a Tego Systems product or uses a Tego Systems, Floor Dot or Smart Blades trademark (see below) contrary to this MAP Policy, Tego Systems Corp. will take one or more of the following actions (see enforcement table below) immediately following verification of any dealer or distributor that advertises any products below MAP Policy pricing or otherwise violates this MAP Policy. It shall apply to all forms of advertising, including but not limited to print advertising (such as magazines and newsprint), electronic media (such as radio and television) and the internet (such as a resellers’ web site or any other web sites (incl. social media websites) through which the reseller operates or advertises).
Sales representatives are strictly NOT permitted to make any agreements or assurances deviating from this Policy.
Any products must be advertised at MAP Policy Price Lists or higher. Any advertised price quotations,
express, implied, direct or indirect, below the MAP violates this Policy. Some examples of other prohibited activities that violate this Policy include, but are not limited to:

1. The use of words, phrases, or symbols that indicate “special pricing” such as “call for price,” “E-Mail for,” or “lower pricing.”
2. “On-line” indications of different pricing such as underlining, “click for,” “click to,” or links to price quotations at all levels above (or prior to) a shopping cart. This shall include listing products without prices to aid the sale of an item below the MAP Policy Price List.
3. Combination, bundling or package “deals” that are not part of Tego Systems Corp.’s pricing program if the result of such combination is to imply, suggest, or, in fact, create an advertised price reflecting Tego Systems Corp. products at a price below the MAP Policy Price List .
4. Any reseller offering Tego Systems Corp. products to anybody that is violating the Map Policy or illegally using Tego Systems trademarks (see below).

Refurbished & Demo: Items that are sold as “used,” or as “demo” products are not subject to MAP Policy Pricing only when such items are 1) clearly marked “REFURBISHED” or “DEMO”, and 2) clearly specified as being in limited supply.
Promotions: Distributors, Deals and Resellers may be given promotional pricing and promotion periods for which the reseller may indicate “Promotion,” “Promotional Price,” or “Limited Time Promotion” during the promotional period which may last no longer than approved by Tego Systems Corp. If reseller wishes to put any product on promotion an advanced request of these promotions is required, sent at least seven business days prior to the promotion to Your account manager. Tego Systems Corp. may approve or deny these requests at its sole discretion.
Rebates: If rebates are being offered to resellers by Tego Systems Corp., the price advertised must remain at MAP Policy pricing or higher.
Online Stores and Auctions: Online resellers must comply with this MAP Policy. Tego Systems Corp. prohibits the sale of its products on Auction sites such as eBay and other 3rd Party Sites which suggest a “Best Price” against which bidders may “bid” over a limited time. When products are offered as “Refurbished” on websites, and thus not subject to this MAP Policy, the word “Refurbished” must not be modified with language such as “like new” or “in original box,” or terms which may imply that the product is new. Web sites that are established as shopping sites by companies which are not Tego Systems Corp. resellers will be monitored and restrained from making offers that violate Tego Systems Trademark rights. All Tego Systems Corp. products listed for sale directly or indirectly through any of our dealer’s distributor’s and reseller’s website(s) and/or any 3rd party sales websites are subject to this MAP policy. Without written permission Tego Systems Corp. prohibits its distributors, dealers and resellers to list any Tego Systems Corp. products and trademarks on any 3rd party trade websites including but not limited to Amazon, Ebay, Sears, Alibaba, Home Depot, Lowes, etc. Tego Systems Corp. reserves the right at its sole discretion to deny any request by its distributors, dealers and resellers to list Tego Systems Corp. products and trademarks on 3rd party websites.
Violations: Violations will be aggressively monitored and will result in the following graduated response levels, at the sole discretion of Tego Systems Corp.:

1. 1st Notice: Notice of Violation
2. 2nd Notice: Termination of the Account as (if violation was not corrected within 3 business days of 1st notice)
3. 3rd Notice: Legal Action to Cease and Desist using the Tego Systems name and/or publishing its directly or indirectly owned Trademarks

Reporting of Violations The sale of any Tego Systems Corp. product in violation of this MAP Policy, the unauthorized use of Tego Systems Corp. Trademarks (see below), or other unauthorized 3rd party attempts to circumvent this MAP Policy should be reported by email to Your account executive
Trademark Reminders:
Tego Systems Corp. vigorously enforces its United States (“US”) and International Trademark Rights. US and other governing laws that protect against unauthorized sales. Tego Systems Corp. owns directly or indirectly the trademarks for its products (Tego Systems, Floor Dot, Smart Blades) and/or has registered them with the US Patent and Trademark Office, International Trademark Offices, and with the US Customs officials. These agencies enforce all available legal restrictions against unauthorized imports. US Customs regulations prohibit the unauthorized import of products with US Trademarks.

This Policy shall be applied and enforced uniformly without exception.
Tego Systems Corp. does not seek, nor will it accept, any formal or informal agreement with regard to pricing.
